These Sweepstakes are sponsored by Everstake Validation Services LLC, a limited liability company registered in the Cayman Islands (“Sponsor”), that organizes from time to time, on its social networking pages, sweepstakes with no purchase required (hereinafter individually the “Sweepstake” and collectively the “Sweepstakes”), according to the terms and conditions set out in these rules and regulations.
References to Sponsor in this Agreement shall refer solely to the company sponsoring the Sweepstakes and, its parent company, affiliates, subsidiaries, and respective employees, officers, directors and Released Parties.
By entering or participating, each entrant or participant (“Participant”) agrees unconditionally to be bound by these official rules (the “Rules”) and the decisions of the Sponsor, which are final and binding in all respects to the Sweepstake. Receiving any Reward is contingent upon fulfilling all requirements set forth herein.
ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. PARTICIPATION IN THE GIVEAWAY CONSTITUTES YOUR AGREEMENT TO AND ACCEPTANCE OF THE RULES BELOW.
By entering the Sweepstake, Participant:
(A) Agrees to be bound by these Rules and by the interpretation of these Rules by Sponsor and by the decisions of Sponsor, which are final and binding in all respects;
(B) Acknowledges compliance with these Rules; and
(C) Agrees to comply with any and all applicable federal, state, and local laws, rules and regulations. Receiving the Prize (defined below) is contingent upon fulfilling all requirements set forth in these Rules. VOID WHERE PROHIBITED.
1. Eligibility
Unless otherwise specified, the Sweepstakes are open only to persons: (i) who are either: (a) eighteen (18) years of age or older; or (b) such higher age of majority as set by the laws of their resident jurisdiction, at the time of entry; and (ii) who are not residents of Belgium, Malta, France, Italy, Netherlands, Brazil, Canada, Hong Kong, Israel, Japan, Kazakhstan, Korea, Norway, Switzerland, Turkey, the United Kingdom or the State of New York (United States), the State of Florida (United States), and the State of Rhode Island (United States) (the “Excluded Territories”). THE LIST OF EXCLUDED TERRITORIES ABOVE IS NOT EXHAUSTIVE. EXCLUDED TERRITORIES INCLUDE ANY OTHER TERRITORY WHERE PROHIBITED BY LAW.
Employees of Sponsor and other companies associated with the promotion of the Sweepstakes, and their respective parents, the immediate family (spouse, parents, siblings, and children) and household members of each such employee as well as subsidiaries, affiliates and advertising and promotion agencies and any company involved in the creation, design, execution, production, or fulfillment of the Sweepstake (the “Released Party”), are not eligible to enter.
2. Agreement to Rules
By entering the Sweepstake, Participant: (a) agrees to be bound by these Rules and by the interpretation of these Rules by the Sponsor and by the decisions of Sponsor, which are final and binding in all respects; (b) acknowledges compliance with these Rules; and (c) agrees to comply with any and all applicable federal, state, and local laws, rules, and regulations. Winning the Prize (defined below) is contingent upon fulfilling all requirements set forth in these Rules. VOID WHERE PROHIBITED.
3. Sweepstake Period
The Sweepstake begins on the start date and ends on the end date, which will be indicated in the publication on the Social Network on which each Sweepstake is held (the “Campaign Period”). Entries that are submitted before or after the Entry Period will be disqualified.
4. How to Enter
To participate in a Sweepstake, Participants must visit the Social Network (defined below) where the Sweepstake is organized during the Campaign Period, and follow the instructions in the publication on the Social Network regarding the Sweepstake.
This publication will indicate, among other things, the start and end dates of the Sweepstake, the Prizes to be won, the date on which the winner(s) will be announced, and a link to these rules and regulations. Further requirements may apply depending on the Sweepstake and shall be communicated to the participants in the publication dedicated to such specific Sweepstake, posted on the Social Network on which the Sweepstake is held.
To participate in the Sweepstake, you must satisfy the eligibility criteria and satisfy the specific requirements, as specified by the Sponsor, during the Campaign Period (each, an “Entry”). Sponsor will, in its sole and absolute discretion, determine the validity of each and every Entry. Sponsor’s decision and calculations shall be final and binding on the Participant.
All entries submitted in compliance with these Rules and not disqualified or void are considered “Eligible Entries”. All entries are the property of the Sponsor.
5. Prizes and Rewards
The nature, quantity and value of the Sweepstakes’ Prize(s) and Reward(s) will be indicated in the publication on the Social Network on which each Sweepstake is held (the “Reward” or “Prize”).
The Reward of the Sweepstake will be specified by the Sponsor and indicated in the publication on the Social Network on which each Sweepstake is held. The total approximate total retail value of the Prize(s) is as specified by the Sponsor. This Sweepstake is being run across multiple jurisdictions and Recipients will include participants on a global basis. Rewards shall be as determined by the Sponsor in its sole, absolute, and final discretion and are non-transferrable.
Digital Asset Reward. Prizes comprising digital assets shall be distributed to each Participant’s personal wallet or account registered with the Released Party, in the digital asset specified by the Sponsor and/or Released Party. Sponsor’s and/or Released Party’s decision and calculations of digital assets rewards shall be final and binding on the Participant.
Inability to Accept Prize. Sponsor shall have no responsibility or obligation to a Participant who is unable or unavailable to, or who does not for any reason, accept or utilize a Prize. In the event a Participant cannot accept the Prize, an alternate Participant will be drawn from all remaining Eligible Entries.
Prize(s) Provided “As-Is”. The Prize(s) are provided “as-is.” Participants acknowledge that Sponsor and the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize(s), including any implied warranty of merchantability of fitness for a particular purpose. Any Prize(s) pictured in advertising and other Sweepstake materials are for illustrative purposes only.
Recipient Responsible for Any Applicable Tax Liability Associated Prize(s). The value of the Prize(s) may be taxable to the Recipient as income. All federal, state, and local tax liability, and any other costs and expenses associated with acceptance or use of the Prize(s) not specifically provided for in these Rules are solely the Recipient’s responsibility (regardless of whether the Prize, in whole or in part, is used). Recipients are solely responsible for their entry into any Sweepstake that involves a Reward of digital assets and should ensure that they understand the federal and state tax implications of receiving cryptocurrency as a Prize.
DISCLOSURE: THE VALUE OF A DIGITAL ASSETS OR OTHER PRIZE, OTHER THAN STABLECOINS, IS SUBJECT TO CHANGE, AND THERE CAN BE A SUBSTANTIAL RISK THAT IT COULD LOSE VALUE (POSSIBLY ALL VALUE) AS A RESULT OF BUYING, SELLING, OR HOLDING THE PRIZE.
6. Notification
The potential “Recipient(s)” of the Prize in the Sweepstake will be determined according to the method specified by the Sponsor in the relevant campaign details, in the Sponsor’s sole and exclusive discretion.
Notification of Recipient. The Prize will be awarded to the authorized account holder regardless of the individual who submitted the entry. Each potential Recipient will be notified within thirty (30) days (or such other time specified by Sponsor) of the end of the Campaign Period, by the notification in app or website, or other method specified by Sponsor.
Alternative Recipient. If the Recipient does not comply with these Rules or is otherwise unable to accept the Reward, the Reward is forfeited and an alternate Recipient will be selected. This Recipient selection and notification process shall be continued until a Recipient is confirmed. If the Prize is returned as undeliverable, the Prize will be forfeited and an alternate Recipient will be selected.
ANY VIOLATION OF THESE RULES BY ANY RECIPIENT (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN THE RECIPIENT'S DISQUALIFICATION AS RECIPIENT OF THE SWEEPSTAKES AND WILL NO LONGER BE CONSIDERED AN ELIGIBLE PARTICIPANT.
7. Grant of Rights
Except where prohibited by law, by entering the Sweepstake and/or winning the Prize, Participant irrevocably consents to the use of his or her account name, picture, entry, statements attributed to Participant (if applicable), and any video footage related to the Prize, for all Released Parties’ advertising, promotional, or other commercial purposes in all media now or hereafter known, worldwide and in perpetuity without additional compensation and additionally consents to the Released Parties putting their name on a Recipient’s list. Please note that Sponsor may not acknowledge or return any entries.
Intellectual Property. By submitting an entry, Participant agrees the general terms regarding intellectual property in the Sponsor Terms and Conditions applicable to your jurisdiction. Specifically, Participants represent and warrant to Sponsor that they have the rights, authorizations, and licenses to all the content they share with Sponsor via any platform. This includes, but is not limited to, getting the owner’s consent before sharing third-party content and/or not infringing (or causing Sponsor to infringe) any third-party rights, including third-party intellectual property rights. Participant grants to Sponsor a perpetual, non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, distribute, publish, and process the content they share with Sponsor (including their intellectual property) without any further consent, notice, and/or compensation to them or to others for any purpose. Participant can end this license by deleting such content and notifying Sponsor. Participant further agrees to hold Sponsor harmless against any liability, claims, or demands arising from the content they share with Sponsor.
Right of Publicity. By submitting an entry, the Participant agrees to the Sponsor’s use of their account name, address, or Prize information for promotional purposes in any medium without additional compensation to the extent permitted by law.
8. General Terms
The Sponsor and Released Parties are not responsible if the Sweepstake cannot take place, or if the Prize(s) cannot be awarded due to delays, interruptions, or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, global pandemic, local epidemics, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of the Sponsor and Released Parties.
Right to Terminate. If, for any reason, the Sweepstake is not capable of running as planned, including, without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the Sponsor and Released Parties, which, in Sponsor’s sole determination, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Sweepstake, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstake or any part of the Sweepstake. If the Sweepstake or any part of the Sweepstake is terminated or modified prior to the closing of the Campaign Period, notice will be posted on Sponsor’s Social Network and/or website. Sponsor reserves the right to modify and amend these Rules from time to time during the Campaign Period for clarification purposes.
Reservation of Rights. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
Severability. The invalidity or unenforceability of any provision of these Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Rules will not constitute a waiver of that term or any other provision of these Rules. Participant agrees to waive any rights to claim ambiguity of these Rules. Headings are solely for the convenience of reference and will not be deemed to affect in any manner the meaning or intent of these Rules or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in the Sweepstake–related materials, or terms of use on a Social Network or website and/or the Terms and Conditions of these Rules, the Rules shall prevail, govern, and control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
Risk. Nothing contained herein shall be construed to be financial advice. Staking involves a high degree of risk and there is always the possibility of loss, including the loss of all staked digital assets. Please seek professional advice before making any financial, investment, or staking decisions.
9. Indemnification and Limitations of Liability
By entering the Sweepstake, Participant agrees to indemnify, defend, and hold harmless Sponsor and any other Released Parties from any and all liability, for any claims, damages, injuries, or losses of any kind, and to release all rights to bring any claim, action, or proceeding arising out of, in connection with, or relating to (i) participation in the Sweepstake; (ii) without limitation, death, or property damage, arising directly or indirectly from the acceptance, possession, misuse, or use of the Prize(s) (iii) defamation, violation of publicity rights, or invasion of privacy in connection with the Sweepstake or acceptance and use of the Prize(s); and (iv) copyright infringement, trademark infringement, or any other intellectual property-related cause of action arising from or related to the Sweepstake, the Prize(s), or Sponsor’s advertising and marketing related to the Sweepstake, Participants, or the Recipient, in all cases, including but not limited to: (a) unauthorized human intervention in the Sweepstake; (b) technical errors related to computers, servers, providers, telephone, or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstake or the processing of entries; or (f) injury or damage to persons or property (including to any computer or mobile device systems resulting from participation in or accessing or downloading information in connection with the Sweepstake), which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Sweepstake or receipt or use of any Prize(s). Participant assumes all liability for any injury or damage caused or claimed to be caused, by participation in the Sweepstake, or the acceptance, receipt, or use of the Prize(s) or any Prize component. Participant further agrees that in any cause of action, Sponsor and/or the Released Parties’ liability will be limited to the value of the Reward, and in no event shall the Sponsor and/or Released Parties be liable for attorney’s fees.
THE PRIZE IS OFFERED AND PROVIDED “AS-IS” WITH NO WARRANTY OR GUARANTEE BY SPONSOR OR ANY RELEASED PARTY, EITHER EXPRESS OR IMPLIED. IN NO EVENT WILL SPONSOR OR ANY RELEASED PARTY BE LIABLE TO PARTICIPANT FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THE SWEEPSTAKE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT SPONSOR AND/OR OTHER RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
10. Privacy
By participating in the Sweepstake, the Participant acknowledges having read the Sponsor Privacy Notice, which is published at https://everstake.one/privacy-notice , and understands that the Sponsor will use the information provided for the purposes of assessing the participant’s eligibility to participate in the Sweepstake and reward redemption. Among other things, the information the participant provides may be used for sending company updates and announcements about the Sponsor and its products and/or services following the applicable requirements.
11. Governing Law and Arbitration
These Rules shall be governed by, and construed in accordance with, the laws of England and Wales, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the Sponsor location.
Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstake or any Reward awarded shall be resolved by binding arbitration, without resort to any form of class action, and exclusively by the appropriate court located in the giveaway home location. The parties agree to follow the arbitration procedures set forth by the London Court of International Arbitration (LCIA) to resolve the dispute. Arbitration proceedings shall take place in London. Each party is responsible for paying its own filing, administrative and arbitrator fees. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
12. No Financial Advice
Nothing contained herein shall be construed to be financial advice. Nothing contained herein shall constitute a solicitation, recommendation, endorsement, or offer by the Sponsor to invest, buy or sell any digital assets. Purchasing cryptocurrencies and digital assets involves a high degree of risk and there is always the possibility of loss, including the loss of all or of a substantial amount of your initial purchase price. Please seek professional advice before making any financial, investment or trading decisions.
13. Social Media
By submitting an entry, Participant agrees to a complete release of Facebook®, Instagram®, Twitter®, YouTube®, and/or any other social media platform (“Social Network”) used to promote or enter into the Sweepstake and acknowledges that the Sweepstake is in no way sponsored, endorsed, administered by, or associated with Facebook®, Instagram®, Twitter®, YouTube®, and/or any other social media platform. Further, Participant agrees to abide by any and all, if any, requirements imposed by any social media platform used to promote or enter into the Sweepstake.
14. Accessibility of Rules and Recipients List
The terms and conditions relating to validly submitting an entry to the Sweepstake are available separately via the relevant campaign blog post. Where required by law, Sponsor will provide the name of Recipient(s) to those who request it. Requests for the list of Recipients shall be emailed to Sponsor at and/or Released Party email within twenty-eight (28) days of the end of the Campaign Period.
